1. Overview

Welcome to Alyva.

These Terms of Service ("Terms") govern your access to and use of the Alyva website, online store, products, content, features and related services (collectively, the "Services").

Throughout these Terms, "Alyva", "we", "us" and "our" refer to the operator of Alyva.

Our online store is powered by Shopify, which provides the ecommerce platform that enables us to offer our products to you.

By accessing our website or purchasing from Alyva, you agree to these Terms together with any policies referred to within them.

Nothing in these Terms limits or excludes any rights you have under applicable consumer law that cannot legally be limited or excluded.

2. Using the Alyva Website

You may use our website only for lawful purposes.

When providing information to Alyva, including when placing an order, you agree that the information you provide is accurate, current and complete.

If you create an account, you are responsible for keeping your login information secure and for activity carried out through your account.

You must not misuse the website, interfere with its operation, attempt to gain unauthorised access to it, introduce malicious software, scrape or extract its content without permission, or use it in a way that violates applicable law or the rights of another person.

We may restrict or suspend access to the Services where reasonably necessary, including where we believe these Terms have been breached or the security or integrity of the Services is at risk.

3. Alyva Products

We make reasonable efforts to display and describe Alyva products accurately.

However, product colours and appearance may vary slightly depending on your screen, device and display settings.

Packaging and product presentation may also be updated from time to time.

Product descriptions, flavours, availability, packaging and other product information may change where reasonably necessary.

Any ingredient, allergen, warning, usage and other product information displayed on the physical product packaging should be read carefully before use.

Do not use an Alyva product contrary to the directions or warnings provided with that product.

4. Product Information and Educational Content

Information provided through the Alyva website concerning L-theanine, ingredients, nutrition, scientific research, wellness or related subjects is provided for general informational and educational purposes.

Where we discuss scientific research, this does not mean that every research finding constitutes an authorised health claim for an Alyva product.

Alyva products are not medicines and are not intended to diagnose, treat, cure or prevent disease.

You should follow the directions, recommended intake and warnings displayed on the product packaging.

Nothing on our website should be treated as a substitute for individual medical advice from an appropriately qualified healthcare professional.

5. Orders

When you submit an order through Alyva, you are offering to purchase the products contained in that order.

Receiving an automated acknowledgement does not necessarily mean that we have accepted your order.

A contract for your purchase is formed when we confirm acceptance of your order, subject to applicable law.

We reserve the right to refuse or cancel an order where reasonably necessary, including where:

• a product is unavailable;

• payment cannot be authorised;

• information provided with the order is materially inaccurate;

• we reasonably suspect fraud or misuse;

• an obvious pricing or product-information error has occurred; or

• we cannot lawfully fulfil the order.

If we cancel an order after taking payment, we will refund the relevant amount.

Please review your order carefully before submitting it.

6. Personal Use

Unless otherwise agreed with Alyva, products purchased through our consumer store are supplied for personal use and not for unauthorised commercial resale.

If you are interested in stocking, distributing or purchasing Alyva products commercially, please contact us separately regarding wholesale or retail opportunities.

7. Prices and Payment

Prices will be displayed on the Alyva website when you place your order.

We may change our prices at any time, but changes will not normally affect orders that have already been accepted.

Any applicable delivery charges will be shown during checkout before you place your order.

You agree to provide accurate and authorised payment information.

Payments may be processed through Shopify and/or third-party payment providers.

If a price displayed on our website is obviously incorrect, we may contact you before accepting the order or cancel the affected order and issue a refund where payment has already been taken.

8. Promotions and Discount Codes

From time to time, Alyva may offer discounts, promotional codes, bundles or other promotional offers.

Promotions may be subject to additional conditions, including expiry dates, eligibility requirements and restrictions on combining offers.

Unless otherwise stated, promotional offers have no cash value and cannot be exchanged for cash.

We reserve the right to withdraw or correct a promotion where there has been an error, misuse or other legitimate reason, subject to applicable consumer law.

9. Shipping and Delivery

Available delivery methods, estimated delivery times and charges will be shown during checkout where applicable.

Delivery dates and times are estimates unless we expressly agree otherwise.

We are not responsible for delays caused by circumstances genuinely outside our reasonable control, but this does not affect your statutory rights.

Where Alyva arranges delivery to a consumer, responsibility for the goods remains with us until the goods come into your physical possession, or the physical possession of a person you identify to receive them, except where applicable law provides otherwise.

You are responsible for providing a complete and accurate delivery address.

10. Returns, Cancellations and Refunds

Returns, cancellations and refunds are governed by our Returns & Refunds Policy together with your applicable statutory rights.

Nothing in these Terms or our Returns & Refunds Policy limits rights that cannot legally be excluded under consumer law.

For change-of-mind returns under Alyva's voluntary returns policy, products may need to remain unopened, unused and sealed in their original packaging.

Different rules may apply where a product is faulty, damaged, incorrectly supplied or otherwise does not conform to your legal rights.

11. Intellectual Property

Unless otherwise stated, the Alyva website and its content — including the Alyva name, branding, logos, product designs, packaging designs, graphics, photographs, videos, written content, page designs and other materials — are owned by, licensed to, or used lawfully by Alyva and are protected by applicable intellectual property laws.

You may access the website for your personal, non-commercial use.

You must not reproduce, copy, distribute, republish, commercially exploit, modify or create derivative works from protected Alyva content without our prior permission, except where permitted by law.

Nothing in these Terms transfers ownership of Alyva intellectual property to you.

Third-party trademarks and other intellectual property remain the property of their respective owners.

12. Reviews, Feedback and User Content

If you submit a product review, suggestion, photograph, feedback or other content to Alyva, you confirm that you have the right to provide that material and that doing so does not violate another person's rights.

You grant Alyva a non-exclusive, worldwide, royalty-free licence to use, reproduce and display content you voluntarily submit to us for purposes connected with operating, improving and promoting Alyva, subject to applicable law.

You remain responsible for content you submit.

You must not submit content that is unlawful, defamatory, threatening, fraudulent, obscene, malicious, infringes intellectual property or privacy rights, contains malware, or deliberately misrepresents your identity or experience.

Where legally permitted, we may moderate or remove user content that violates these Terms.

13. Third-Party Services and Links

The Alyva website may contain functionality, links or integrations provided by third parties.

Third-party services are governed by their own terms and privacy practices.

We are not responsible for independent third-party websites or services that we do not control.

You should review their applicable terms and policies before using them.

14. Relationship With Shopify

Alyva's online store is powered by Shopify.

However, purchases made from Alyva are transactions between you and Alyva, not Shopify.

Shopify provides technology and ecommerce services that enable us to operate the store but is not the seller of Alyva products.

Certain use of Shopify's services is also subject to Shopify's applicable terms and privacy practices.

15. Privacy

Our handling of personal information is described in our Privacy Policy.

Because our online store is powered by Shopify, Shopify also processes certain information in connection with your access to and use of the store.

16. Website Availability and Errors

We aim to keep information on the Alyva website accurate and the website available.

However, websites can occasionally contain typographical errors, technical problems, inaccurate availability information or other mistakes.

Where appropriate, we may correct errors and update information.

If an error materially affects an order you have already placed, we will deal with it in accordance with applicable consumer law.

We do not guarantee that the website will always be uninterrupted or error-free.

17. Prohibited Uses

You must not use the Alyva website:

• for unlawful or fraudulent purposes;

• to violate the rights of Alyva or another person;

• to introduce viruses, malware or other harmful technology;

• to attempt unauthorised access to the website, accounts or related systems;

• to collect personal information about other users without lawful authority;

• to impersonate another person or misrepresent your identity;

• to interfere with the security or operation of the Services; or

18. Liability

Nothing in these Terms excludes or limits liability where doing so would be unlawful.

In particular, nothing in these Terms excludes or limits liability for death or personal injury caused by negligence, fraud or fraudulent misrepresentation, or any other liability that cannot legally be excluded or restricted.

Nothing in these Terms affects your statutory rights as a consumer.

Subject to those protections, Alyva will not be responsible for losses that were not reasonably foreseeable when the contract was formed or for business losses arising from a consumer's use of our products or Services.

If you use our Services for commercial or business purposes contrary to the intended consumer use of our store, different limitations may apply to the fullest extent permitted by law.

19. Events Outside Our Control

We will not be responsible for a failure or delay in performing obligations where caused by circumstances genuinely outside our reasonable control.

Where such circumstances affect an order, we will take reasonable steps to minimise the effect and communicate with you where appropriate.

Your statutory rights remain unaffected.

20. Changes to the Services

We may update, modify, suspend or discontinue parts of the Alyva website or Services from time to time.

We may also introduce new products, features or functionality.

Where a change affects an existing contractual obligation to you, we will comply with applicable law.

We may update these Terms from time to time to reflect changes to Alyva, our Services, applicable laws or our business practices.

The current version will be published on this page together with the date it was last updated.

Changes will not retrospectively remove rights you already have under an existing consumer contract where doing so would be unlawful.

22. Severability

If any provision of these Terms is found to be unlawful, invalid or unenforceable, that provision will be treated as modified or removed to the minimum extent necessary.

The remaining provisions will continue to apply.

23. No Waiver

If we delay or fail to enforce a provision of these Terms, that does not automatically mean we have waived our right to enforce it later.

24. Governing Law

If you are a consumer resident in the United Kingdom, these Terms are governed by the applicable laws of the part of the United Kingdom in which you live, and you retain the protections of any mandatory consumer laws applicable to you.

If you live elsewhere, you may also have mandatory rights under the laws of your country of residence that these Terms cannot exclude.

Nothing in these Terms deprives you of protections or access to courts that applicable consumer law requires.
